Terms of Use
Last updated: August 27, 2026
These Terms of Use (“Terms”) govern your access to and use of The Clinical Research Shop website and your purchase and use of digital templates and other products made available through the website (collectively, the “Services”). By accessing the website or purchasing a product, you agree to these Terms.
If you do not agree to these Terms, please do not use the website or purchase our products.
1. About The Clinical Research Shop
The Clinical Research Shop provides professionally developed digital templates and resources intended to assist clinical research professionals and organizations in developing and managing clinical trial documentation.
Our products may include templates provided in Microsoft Word, Excel, PowerPoint, or other formats identified on the applicable product page.
2. Digital Products
All products sold through The Clinical Research Shop are digital products. Products are provided as editable source files in the format specified on the applicable product page.
Templates are intended to provide a practical starting point for document development. You are responsible for reviewing, adapting, completing, and approving any template before using it in connection with your organization’s activities or a clinical trial.
Our templates are not intended to replace your organization’s standard operating procedures, quality systems, regulatory requirements, legal advice, or professional judgment.
3. License to Use Purchased Products
When you purchase a product, you receive a limited, non-exclusive, non-transferable license to download, modify, and use the purchased template for your own professional and internal business purposes, subject to these Terms.
An individual may purchase and use a template in connection with their professional work, including work performed for an employer or client.
When an organization purchases a template, the organization may make the purchased template available to its employees and authorized personnel for the organization’s internal use.
You may customize a purchased template as needed for permitted internal use, including adding or changing branding, terminology, content, sections, formatting, workflows, and study-specific information.
The license does not transfer ownership of the template or any underlying intellectual property rights to you.
4. Prohibited Uses
Except as expressly permitted by these Terms, you may not:
- resell or redistribute a purchased template;
- sublicense, rent, lease, or otherwise transfer the template to another person or organization;
- share the original template file outside the individual purchaser or purchasing organization;
- upload or distribute the template through a public or third-party repository, template marketplace, document library, or similar service;
- use a purchased template to create or distribute a competing template or template library;
- represent the original template, or substantially similar portions of it, as a product created independently by you; or
- otherwise commercially distribute the template itself.
These restrictions apply to both the original template and any modified version where the underlying template remains substantially recognizable.
5. Intellectual Property
The Clinical Research Shop and its licensors retain all rights, title, and interest in and to the templates, website content, branding, text, graphics, designs, and other materials provided through the Services, except for content supplied by the purchaser.
Purchasing a product grants you the limited license described in these Terms; it does not constitute a sale or transfer of ownership of the underlying intellectual property.
6. Your Responsibility for Customized Documents
You are solely responsible for reviewing and adapting purchased templates for your intended use.
You are responsible for determining whether a document is appropriate for your organization, study, jurisdiction, sponsor requirements, quality system, regulatory requirements, or applicable policies and procedures.
The Clinical Research Shop does not represent or warrant that any template will satisfy the requirements of a particular sponsor, CRO, institution, regulatory authority, IRB/IEC, quality management system, electronic Trial Master File (eTMF/TMF) system, or other organization.
Templates should be reviewed and approved through your organization’s applicable quality, regulatory, legal, and document-control processes before implementation or filing in a Trial Master File.
7. No Legal, Regulatory, or Professional Advice
The products and information provided through the Services are for informational and document-development purposes only.
Nothing provided through The Clinical Research Shop constitutes legal, regulatory, medical, clinical, quality, statistical, or other professional advice.
Use of a template does not guarantee regulatory compliance, inspection readiness, audit readiness, acceptance by a regulatory authority, or compliance with any particular organization’s requirements.
8. Purchases and Payment
Prices are displayed on the website at the time of purchase and may change without notice.
Payments are processed through Stripe. By submitting payment, you authorize the applicable payment provider to process the transaction using the payment information you provide.
The Clinical Research Shop does not receive or store your full payment-card number through our website. Payment information is processed by Stripe in accordance with its applicable terms and privacy practices.
9. Delivery
Digital products are delivered electronically.
Following successful payment, a download link may be displayed on the confirmation page and sent to the email address provided at checkout.
Unless otherwise stated on the applicable product page, download links remain available for 30 days from the date of purchase.
You are responsible for providing an accurate and accessible email address at checkout.
10. Refunds
Because our products are digital files delivered electronically, purchases are generally final once the download link has been issued.
If a file is materially defective, corrupted, or materially different from its description, please contact us. We will review the issue and, where appropriate, provide a replacement file or another reasonable resolution.
Nothing in this section limits any rights you may have under applicable law.
11. Product Descriptions and Availability
We make reasonable efforts to ensure that product descriptions, images, formats, and other information displayed on the website are accurate. We do not warrant that every description, image, or other website content is complete, current, or error-free.
We reserve the right to modify, update, suspend, or discontinue products or website features at any time.
12. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services and products are provided on an “as is” and “as available” basis.
We make no warranties, express or implied, regarding the products or Services, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or suitability for a particular clinical, regulatory, quality, or business purpose.
13. Limitation of Liability
To the maximum extent permitted by applicable law, The Clinical Research Shop and its owners, contributors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or other intangible losses arising from or related to your use of the website or products.
To the maximum extent permitted by applicable law, our total liability arising from a purchase will not exceed the amount you paid for the specific product giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
14. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date.
Your continued use of the website or purchase of products after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
